1. Parties & Acceptance
This Host Agreement (“Agreement”) is entered into between Skwatify, Inc., a Delaware corporation (“Skwatify,” “we,” “us,” or “our”), and the individual or legal entity accepting this Agreement (“Host,” “you,” or “your”). By clicking “Accept,” creating a Host account, listing a location on the Skwatify platform, or otherwise accessing or using the host-facing services of the Skwatify platform (the “Platform”), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are accepting this Agreement on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity.
2. Definitions
For purposes of this Agreement, the following terms have the meanings set forth below: “Access Session” means a time-limited, revocable authorization issued through the Platform that permits a Guest to access a Host Location during a defined service window.“Guest” means an individual who requests or receives access through the Platform. “Host Location” means a physical premises listed by Host on the Platform. “Platform Fee” means the portion of fees retained by Skwatify. “Gross Access Fee” means the total amount paid by a Guest prior to deductions. “Scan Event” means verification via QR code, token, or similar method. “Service Window” means the hours during which access is offered.
3. Scope of Services
Skwatify operates a digital marketplace that facilitates restroom access between Hosts and Guests. Skwatify does not own, lease, operate, manage, or control Host Locations; does not providecleaning, staffing, or security services; and does not guarantee Guest behavior, demand, or revenue. Nothing in this Agreement creates a partnership, joint venture, agency, employment, or franchise relationship.
4. Host Obligations
Host is solely responsible for maintaining Host Locations in a clean, safe, and usable condition
during Service Windows; honoring valid Access Sessions in good faith; ensuring staff awareness of verification procedures; providing accurate information; and complying with all applicable laws and regulations.
5. Access Sessions & Guest Conduct
Access Sessions represent limited, revocable permission. Hosts may refuse, suspend, or revoke access for safety, conduct, or operational reasons. Guests are solely responsible for their conduct while on Host premises.
6. Fees, Payments & Revenue Share
Guests pay Access Fees through the Platform. Skwatify deducts Platform Fees and payment processing charges and remits Net Host Proceeds. Refunds, disputes, or chargebacks may be offset against future payouts.
7. Taxes
Host is solely responsible for determining, collecting, reporting, and remitting all applicable taxes.
Skwatify does not provide tax advice and may issue tax reporting documents where required by law.
8. Disclaimers & Limitation of Liability
The Platform is provided “as is” and “as available.” Skwatify disclaims all warranties and limits
liability to Platform Fees received during the six months preceding the claim, to the fullest extent permitted by law.
9. Indemnification
Host agrees to defend, indemnify, and hold harmless Skwatify against claims arising from Host
Locations, Host personnel, or violations of law. Skwatify indemnifies Host only for its gross negligence or willful misconduct.
10. Term, Termination & Suspension
This Agreement is at-will and may be terminated by either party. Skwatify may suspend or terminate access for safety, legal, or regulatory concerns.
11. Data, Analytics & Feedback
Skwatify may collect and use anonymized or aggregated data generated through the Platform.
Host grants Skwatify rights to feedback provided.
12. Confidentiality
Each party agrees to maintain the confidentiality of non-public information, subject to standard
legal exceptions.
13. Dispute Resolution & Governing Law
This Agreement is governed by the laws of the State of Delaware. Disputes will be resolved by
binding arbitration, with small-claims exceptions where permitted.
14. Miscellaneous
This Agreement constitutes the entire agreement between the parties, permits electronic
acceptance, and establishes an independent contractor relationship.
